1. Principles, No Bailment, and Role of the Company
- The Company operates an online marketplace that provides parking information, reservation functionality, and online payments. We are not a parking operator, manager, or bailee/custodian of vehicles.
- For Information-only Parking, we merely curate and display publicly available parking information. We are not a party to any parking contract; all contractual relations and responsibilities lie directly between the Driver and the parking operator.
- For Bookable Parking and Online-Payment Parking, we act only as an intermediary (and as payment agent for Online-Payment Parking) and do not assume custody or safekeeping obligations for vehicles or belongings.
- Except where expressly required by applicable law, the Company is not directly liable for accidents, theft, or damage relating to parking facilities, vehicles, or vehicle contents.
2. Driver Responsibilities
- Drivers are solely responsible for their vehicles and belongings. The risks of theft, damage, or loss while parked remain with the Driver, who should rely on their own motor insurance or other coverage as appropriate.
- If a Driver causes damage to third parties (other users, neighbours, etc.) in connection with parking, the Driver is responsible, at their own cost, for compensating such damage.
- Drivers must comply with applicable laws, posted rules and conditions at the parking facility, and any warnings or instructions displayed through the Service. Drivers must not bring hazardous materials, misuse fire, or otherwise compromise safety at or around the parking facility.
3. Supplier Responsibilities
- Suppliers represent and warrant that they have the lawful rights and authority (ownership, leasehold, management rights, etc.) and necessary permits/registrations to offer the relevant parking spaces via the Service.
- Suppliers must maintain their parking facilities in a safe condition, including:
- adequate lighting, markings, wheel stops, and entrance/exit signage;
- compliance with fire prevention and fighting regulations and other applicable building, planning, and traffic rules;
- adherence to relevant technical standards and codes under Vietnamese law.
- Suppliers are liable for losses suffered by Drivers or third parties arising from structural defects, equipment failures, insufficient signage, breaches of safety obligations, lack of lawful rights, or other acts/omissions within their control.
- For Information-only Parking, all responsibility for operation, safety, and legal compliance lies with the actual parking operator or rights holder; the Company does not assume responsibility for these matters.
4. Company Liability and Cap
- The Company will use reasonable efforts to operate the booking and payment systems securely, but does not warrant uninterrupted or error-free operation of the Service.
- The Company may assist in dispute resolution between users (e.g., Drivers and Suppliers) but is not a direct compensating party in such disputes.
- Where the Company's liability is established under applicable law, the maximum aggregate liability of the Company for any given transaction is limited to the amount of the commission (Margin) actually received by the Company for that transaction.
- This limitation does not apply to liabilities that cannot be excluded or limited under Vietnamese law, nor to losses caused by the Company's wilful misconduct or gross negligence.
- With respect to Information-only Parking, the Company's obligation is limited to reasonably reviewing and, where appropriate, correcting or removing clearly inaccurate or inappropriate information once notified.
5. Insurance
- At present, the Company does not provide any proprietary insurance products or compensation schemes (such as parking-specific insurance).
- Drivers are responsible for maintaining any mandatory motor insurance and reviewing any optional covers they deem appropriate.
- Suppliers are responsible for considering and arranging, at their own discretion and cost, appropriate insurance such as facility/public liability insurance, fire insurance, and other relevant policies.
- If, in the future, the Company or a partner insurer offers optional insurance products, the specific terms and conditions of such products will prevail over this Policy to the extent of any inconsistency.
6. Force Majeure
- "Force Majeure" means an event that occurs objectively, is unforeseeable, and cannot be prevented or remedied despite all necessary and reasonable measures being taken (including but not limited to natural disasters, floods, earthquakes, war, riots, terrorism, epidemics, power outages, large-scale network failures, and government actions).
- The Company is not liable for delays or failures in providing the Service to the extent caused by Force Majeure events.
7. Indemnities
- Drivers shall defend, indemnify, and hold harmless the Company from losses, costs, and claims (including legal fees) arising from the Driver's breach of this Policy or the Terms of Service, or from their wilful misconduct or negligence towards third parties (Suppliers, operators, other users, etc.), to the extent permitted by law.
- Suppliers shall likewise defend, indemnify, and hold harmless the Company from losses, costs, and claims arising from their lack of lawful rights, safety breaches, misrepresentations, or other breaches/faults in connection with their parking spaces.
- These indemnities apply only to the extent permitted by Vietnamese law and do not prejudice any mandatory consumer rights.
8. Incident Notice (Accidents, Theft, etc.)
- In case of accidents, theft, personal injury, or major equipment failures at a parking facility, users should first prioritize safety and, where appropriate, contact the police, emergency services, and/or their insurers.
- Users should then notify the Company of the incident as soon as reasonably practicable, preferably within 48 hours, and provide relevant information and evidence (photos, videos, documents, receipts, etc.) to support coordination.
- A delay in notification may affect the Company's or other parties' ability to investigate and respond, to the extent not prohibited by law, but such delay does not automatically extinguish any mandatory statutory rights of consumers.
9. Consumer Protection and Severability
- Nothing in this Policy overrides or limits any mandatory protections granted to consumers under Vietnamese consumer protection laws or other applicable mandatory rules.
- If any provision of this Policy is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.
10. Dispute Resolution
Complaints and disputes arising in connection with this Policy shall be handled in accordance with the Company's Dispute Resolution Policy and Terms of Service (internal resolution → competent authorities/consumer bodies/ADR → courts).
